Summary: By using LinQ Audio, you agree to pay for your subscription, use the software for lawful purposes, and respect our intellectual property. You can cancel anytime. We provide the software "as is" and limit our liability.
1. Agreement to Terms
By accessing or using LinQ Audio software and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and LinQ Audio ("we," "us," or "our").
2. Description of Service
LinQ Audio is a professional audio processing application that provides:
- 3D spatial audio processing using HRTF technology
- 22 professional audio effects
- Cross-platform support (Windows, macOS, Linux, Android)
- Multi-device licensing (up to 3 devices per subscription)
3. Account Registration
3.1 Account Requirements
To use LinQ Audio, you must:
- Be at least 13 years old (or the minimum age in your jurisdiction)
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
3.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
4. Subscription and Payment
4.1 Pricing
LinQ Audio is available through paid subscription:
- Monthly: $8.00 USD per month
- Annual: $73.00 USD per year (24% savings)
Prices are subject to change with 30 days notice to existing subscribers.
4.2 Billing
- Subscriptions are billed in advance on a recurring basis (monthly or annually)
- Payment is processed securely through Stripe
- You authorize us to charge your payment method on each renewal date
- Failed payments may result in service suspension
4.3 Free Trial
We may offer a free trial period. At the end of the trial, you will be charged unless you cancel before the trial ends.
4.4 Cancellation
- You may cancel your subscription at any time from your account dashboard
- Cancellation takes effect at the end of your current billing period
- You retain access to the Service until your subscription expires
- No prorated refunds for unused time in the current billing period
4.5 No Refunds
All sales are final. No refunds will be issued.
By subscribing, you acknowledge that you will not be entitled to a refund for any reason, including but not limited to dissatisfaction with the Service, failure to use the Service, or cancellation of your subscription.
We encourage you to take advantage of any free trial period to evaluate the software before purchasing.
5. License Grant
5.1 What You Can Do
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use LinQ Audio on up to 3 devices you own or control
- Use the software for personal or commercial audio production
- Create and distribute audio content processed with LinQ Audio
5.2 What You Cannot Do
You may NOT:
- Copy, modify, or distribute the software itself
- Reverse engineer, decompile, or disassemble the software
- Remove or alter any copyright, trademark, or proprietary notices
- Share your account credentials or subscription with others
- Use the software to create competing products
- Circumvent any technical limitations or license restrictions
- Resell or sublicense access to the software
6. Intellectual Property
LinQ Audio, including all code, graphics, user interface, logos, and trademarks, is owned by Patrick Jay-R Cyril Gagnon and protected by intellectual property laws.
Your subscription grants a license to use the software—it does not transfer any ownership rights.
Audio content you create using LinQ Audio remains your property.
7. User Conduct
You agree not to use LinQ Audio to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Distribute malware or engage in hacking activities
- Attempt to gain unauthorized access to our systems
- Interfere with other users' enjoyment of the Service
8. Updates and Changes
We may, from time to time:
- Release updates, bug fixes, and new features
- Modify or discontinue features with reasonable notice
- Change system requirements (we'll notify you of major changes)
Updates may be installed automatically. Continued use after updates constitutes acceptance of any changes.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
We disclaim all warranties, express or implied, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
- Accuracy or reliability of results
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, data, or business opportunities
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless LinQ Audio, its owner, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
12. Termination
12.1 By You
You may terminate your account at any time by canceling your subscription and deleting your account.
12.2 By Us
We may suspend or terminate your access if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your payment method fails repeatedly
- Required by law
12.3 Effect of Termination
Upon termination:
- Your license to use the software ends immediately
- You must uninstall the software from all devices
- We may delete your account data (subject to our Privacy Policy)
- Sections on intellectual property, limitation of liability, and indemnification survive termination
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at linkaudio@linqk.net and attempt to resolve the dispute informally for at least 30 days.
13.2 Governing Law
These Terms are governed by the laws of Canada, without regard to conflict of law principles.
13.3 Jurisdiction
Any disputes arising from these Terms shall be resolved in the courts of Canada.
14. General Provisions
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and LinQ Audio.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor.
- Force Majeure: We are not liable for delays caused by events beyond our reasonable control.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting updated Terms on our website
- Updating the "Last Updated" date
- Sending email notification for significant changes
Continued use of the Service after changes constitutes acceptance of the new Terms.
